Artist Agreement

1. Parties

This Artist Agreement ("Agreement") is entered into between BLACKNWHITESIX (Pty) Ltd ("BLACKNWHITESIX", "we", "us", or "our") and you, the artist ("Artist", "you", or "your").

This Agreement supplements the Terms of Service and governs your use of the Platform as a verified artist. In the event of a conflict between this Agreement and the Terms of Service, the terms of this Agreement shall prevail with respect to artist-specific matters.

2. Artist Account Requirements

2.1 Identity Verification

To obtain and maintain an artist account you must complete identity verification by providing a valid government-issued photo ID. We may re-verify your identity at any time.

2.2 Active Subscription

Artist accounts require an active subscription at one of the following tiers:

• Monthly: R200 per month
• Annual: R2,000 per year

If your subscription lapses, your artist privileges (uploading, selling, and withdrawals) will be suspended until the subscription is renewed. Existing purchases by listeners remain accessible regardless of your subscription status.

2.3 Compliance

You must comply with this Agreement, the Terms of Service, and the Content Policy at all times.

3. Content Upload and Distribution

3.1 Ownership

You retain full ownership of all content you upload to BLACKNWHITESIX. Nothing in this Agreement transfers ownership of your intellectual property to us.

3.2 Licence Grant

By uploading content, you grant BLACKNWHITESIX a non-exclusive, worldwide, royalty-free licence to:

• Host and store the content on our servers;
• Transcode the content (including conversion to MP3 at 128 kbps for previews);
• Generate waveform visualisations from the audio;
• Display and resize artwork associated with the content;
• Distribute the content to purchasers and listeners;
• Include the content in platform features such as trending, explore, search results, and recommendations.

This licence terminates when you remove the content from the Platform, subject to any existing purchases or licences already granted to listeners.

3.3 Upload Specifications

• Maximum file size: 50 MB
• Maximum duration: 10 minutes
• Supported audio formats: MP3, WAV, FLAC, AAC, OGG
• Supported artwork formats: JPEG, PNG, WebP

3.4 Explicit Content

You must accurately label any content containing explicit language, themes, or imagery using the explicit content flag at the time of upload. Failure to label explicit content may result in content removal or account action.

4. Pricing and Sales

4.1 Free and Paid Tracks

You may offer tracks for free download or set a price in South African Rand (ZAR). You control the pricing of your content at all times.

4.2 Revenue

Artists receive 100% of the revenue from track sales. BLACKNWHITESIX does not take a commission on sales.

4.3 Collaborator Splits

When a track has multiple collaborators, revenue splits must be agreed upon before the first sale. Once the first sale occurs, collaborator splits become immutable and cannot be changed. Revenue is auto-distributed to each collaborator's wallet according to the agreed split percentages.

4.4 Previews

Non-purchasers may preview the first 20% of a paid track. Full access is granted only upon purchase.

5. Payments and Withdrawals

5.1 Holding Period

All earnings are subject to a 7-day holding period before they become available for withdrawal. This allows time for chargebacks and fraud review.

5.2 Minimum Withdrawal

The minimum withdrawal amount is R5.00. Withdrawal requests below this threshold will not be processed.

5.3 Withdrawal Methods

Withdrawals may be processed via bank transfer, PayPal, or e-wallet, subject to availability in your region.

5.4 Processing Time

Withdrawal requests are processed within 5 business days of confirmation.

5.5 Chargebacks

If a chargeback is filed against a purchase of your content, the corresponding amount will be debited from your wallet. If your wallet balance is insufficient, your balance may go negative. Negative balances will be recovered from future earnings.

5.6 Tax Responsibility

You are solely responsible for reporting and paying any taxes applicable to your earnings from the Platform. BLACKNWHITESIX does not withhold taxes on your behalf. Please refer to our VAT & Tax Notice for more information.

6. Content Standards

All content must comply with our Content Policy. In summary:

• You must not upload content that infringes on the intellectual property rights of others.
• You must not upload content containing uncleared samples, loops, or beats.
• You must not upload content that is illegal under South African law or the laws of your jurisdiction.

6.1 DMCA Notices

We respond to valid DMCA-style takedown notices. If we receive a notice regarding your content, you will be notified and given the opportunity to file a counter-notice in accordance with our Content Policy.

6.2 Content Removal

We reserve the right to remove content with or without notice if it violates this Agreement, the Content Policy, or applicable law. Where practicable, we will notify you before or promptly after removal.

7. Account Standing

7.1 Good Standing

To maintain good standing, you must keep an active subscription, comply with all platform policies, and respond to any verification or compliance requests in a timely manner.

7.2 Suspension

Your artist account may be suspended for any of the following reasons:

• Lapsed subscription that has not been renewed;
• Violations of this Agreement or the Content Policy;
• Fraudulent activity, including but not limited to artificial play manipulation, fake accounts, or payment fraud.

7.3 Termination

Either party may terminate this Agreement at any time. You may terminate by deleting your artist account from your settings. We may terminate your artist account if you materially breach this Agreement and fail to remedy the breach within a reasonable time after notice.

7.4 Effect of Termination

• Existing purchases by listeners will continue to be honoured — purchasers retain access to content they have bought.
• Any remaining wallet balance will be paid out to you within 30 days of termination, subject to any pending chargebacks or disputes.
• Your content will be removed from the Platform within 30 days of termination.

8. Representations and Warranties

By entering into this Agreement, you represent and warrant that:

• All content you upload is original or you hold the necessary licences, rights, and permissions to distribute it;
• You have the legal capacity to enter into this Agreement;
• You will comply with all applicable laws, regulations, and platform policies;
• All information provided during identity verification is accurate, current, and complete.

9. Limitation of Liability

To the maximum extent permitted by law, BLACKNWHITESIX shall not be liable for:

• Unauthorised access to or compromise of your account, where such access results from your failure to secure your credentials;
• Fluctuations in revenue or sales performance;
• Claims brought by third parties against you in connection with your content;
• Errors, delays, or failures by third-party payment processors.

10. Governing Law

This Agreement is governed by the laws of the Republic of South Africa. Any disputes arising from or in connection with this Agreement shall be resolved in accordance with the dispute resolution procedures set out in the Terms of Service.
